Teamgate Partner Program Terms

1. PARTIES

These terms are between X5 TG Acquisition Co., a Nevada corporation doing business as “Teamgate” (5940 S Rainbow Blvd, Ste 400 #52010, Las Vegas, NV 89118-2507, USA) (“Teamgate”, “we”) and the person or business accepting them (“Partner”, “you”).

2. PROGRAMS

(a) Teamgate Partner Program: open sign-up through teamgate.com/partners/. (b) Teamgate Certified Partner: by invitation only. A partner becomes eligible for an invitation if, within the first 12 months after joining the Teamgate Partner Program, they earn US$1,000 in paid commission or refer 3 customers who are still paying when eligibility is checked. For legacy members who move under 2(c), the 12 months start on the date they join the Teamgate Partner Program. Eligibility doesn’t guarantee an invitation. We may also invite any partner, reseller or implementer to the Teamgate Certified Partner program at our discretion, whether or not they meet these criteria. (c) Legacy “Friends of Teamgate CRM”: existing members continue under their current terms until they opt in to (a), or accept an invitation to (b). To opt in, a member must reply to our notice or log in to the partner portal by 8 January 2027. Members who haven’t opted in by then will be deactivated. Customers referred before a member moves or is deactivated keep the legacy rate (50% of payments in their first 2 months). When a legacy member is deactivated, any commission they’ve already earned is paid, even if the balance is under the US$50 minimum payout. One program per partner account.

3. ENROLMENT

We may accept, refuse, move between programs, suspend or remove any partner. Certified status requires an onboarding call, training and acceptance of these terms.

4. COMMISSION

Teamgate Partner Program: 20% of amounts actually received from each Qualified Referral for 12 months from that customer’s first payment. Teamgate Certified Partner: 25% for 24 months. Amounts are net of discounts, credits, refunds, chargebacks and taxes. The Partner is solely responsible for any taxes on commissions they receive. No dollar cap. The rate is fixed when the customer is referred.

5. QUALIFIED REFERRAL

A new customer, unrelated to the Partner, who signs up through the Partner’s link within 90 days of the click (first-touch). The 90-day referral window applies to the Teamgate Partner Program and the Teamgate Certified Partner program. Excluded: existing or returning customers within the prior 12 months; the Partner’s own account or affiliated companies (except Certified Partners signing up a client on that client’s behalf under agreement); reseller-pilot (wholesale) accounts; referrals obtained in breach of these terms. Our tracking record decides attribution.

6. CUSTOMER DISCOUNTS

(a) Teamgate Partner Program: no referral discount or coupon; partners must not offer one. (b) Teamgate Certified Partner: a new customer who signs up through a Certified Partner’s link gets 10% off their first 12 months on a monthly or annual paid plan, applied automatically, in addition to any Teamgate promotion active at the time of purchase. Certified Partners may tell prospects about this discount but must not offer any other. (c) Customers may use Teamgate’s public offers. Only one discount applies per customer, with one exception: the 10% Teamgate Certified Partner discount in 6(b) applies in addition to any Teamgate promotion active at the time of purchase. Commission is calculated on what the customer actually pays.

7. PAYMENT

Commission becomes due 45 days after the customer’s payment. We pay monthly once the due balance reaches US$50 (the minimum payout for the Teamgate Partner Program and the Teamgate Certified Partner program), in USD, by PayPal or Wise, or as a gift card of equal value if the Partner chooses. The Partner bears any payout transfer fees charged by the payment provider. The Partner is responsible for their own taxes. US partners must provide a W-9, and non-US partners a W-8BEN, before their first payout.

8. GIFT CARDS

Issued manually from an approved provider and retailer list. Availability varies by country. Delivered by email. Non-refundable and can’t be exchanged for cash once issued. Lost codes are handled under the retailer’s policy. Card values above US$250 get a second check.

9. REFUNDS, CHARGEBACKS, CLAWBACK

Commission adjusts when a payment is refunded or charged back. We may offset or recover commission already paid on such amounts against future commission.

10. PROHIBITED PROMOTION

No bidding on “Teamgate” or misspellings in paid search; no spam or unsolicited messages; no coupon, cashback, deal or incentivised-traffic sites; no misrepresentation of features, prices, support or support hours (including “24/7”); no review-site badges or testimonials we didn’t supply; no unauthorised discounts (the Certified customer discount in clause 6(b) is authorised).

11. DISCLOSURE AND COMPLIANCE

Clearly disclose the partner relationship (FTC Endorsement Guides, ACCC, ASA/CAP, as applicable). Follow anti-spam and privacy law (CAN-SPAM, Spam Act 2003 (Cth), GDPR/ePrivacy).

12. BRAND

A limited, non-exclusive, revocable licence to use the logos and copy we supply, as supplied. No impersonating Teamgate. No domains or social handles containing “Teamgate”.

13. DATA

Partners don’t receive customer email addresses. Certified Partners may see customer names. Any Partner who gets access to a customer account must sign our data-processing addendum.

14. FRAUD

We may void commissions, deactivate referrals and suspend or close accounts where we reasonably suspect fraud or a breach.

15. CHANGES AND TERMINATION

We’ll give 30 days’ notice of changes by email. Either party may end participation at any time. Commission earned before termination is paid, unless termination is for breach or fraud.

16. LIABILITY

Our total liability is capped at the commission paid to the Partner in the prior 12 months. Neither party is liable for indirect or consequential damages.

17. GENERAL

The parties are independent contractors. No exclusivity. These terms are governed by the laws of the State of Nevada, USA. These terms are the entire agreement on the program. The reseller pilot is covered by a separate reseller agreement.
